3. Organizational structure

3.1 The VEME DAO

In its primary foundational layer, the VEME DAO consists of a set of 50,000 VEME NFTs. Each one of these NFTs has equal voting rights on proposals moving in and out of the ecosystem to attain decentralization. The initial distribution of these NFTs is as follows:

VEME DAO Founding MultiSig | 20,000 NFTs

VEME will retain NFTs to further its collective missions, invest in R&D, and have the resources needed to expand its core offerings. This will be controlled by a multi-sig wallet from the core founding team and expanded to include different members over time. These will be eventually distributed to PODS as decentralization takes full effect.

VEME Pods | 10,000 NFTs

Pods are sub-DAOs that have their own internal treasury and voting rights to self-government. Development, marketing, media, and each department has its own SubDao (pod) which receives disbursements from the treasury to fulfill its missions. Each of these SUBDAOS will be controlled by its own multi-sig composed of founding members of that SUBDAO, and rotated through a regular proposal system.

VEME Stakeholders| 15,000 NFTs

Team Members, Investors, Advisors, Founding Creators, and other primary stakeholders can get a stake in the VEME NFTs by providing value. Either monetarily in the treasury, or by playing a key strategic role in our ecosystem.

The VEME Community | 5000 NFTs

Rewarding involved community members VEME the company distributes 5000 VEME NFTs to encourage previous and current participation in its ecosystem.

The VEME NFTs are not capped to 50,000 NFTs.

As VEME the platform grows, every DAO that locks up (holds) quantities of 500,000 $VEME in their treasury will be allocated VEME NFTs accordingly, which will allow them to vote and receive distributions. Each creator that contributes X value to the VEME platform and ecosystem will be allocated VEME NFTs. In this way, we aim for the DAO to be fully decentralized and collectively owned over the span of 3-5 years in direct coordination with scaling. Over time, this will facilitate further decentralization, allowing VEME the Company to free up control when the DAO is learning how to govern itself towards the mission.

Apart from providing voting rights, the VEME NFTs hold the following functions:

  • Access To All Events For VEME

  • Access To VEME Channels

  • Discounts on all VEME Related Products/Services

  • Discounts on all digital merchandising and sales

  • Early access to investment opportunities within projects launched through the NFT-based DAO Launchpad.

  • Ability to receive participation weighted staking rewards; 10% of assets coming into the treasury through VeFi, Voltage, and the DAO Launchpad is dispersed between VEME NFT holders upon staking.

3.2 Proposals

The above actors can vote on a variety of proposals submitted by community members, VEME the company, contractors, or the sub DAOs, which govern different parts of the ecosystem to keep the ecosystem moving with agility. Below are some of the relevant proposals needed in order to govern a DAO such as the VEME DAO at scale.

Treasury & monetary policy proposals

  • Bringing in the capital by selling VEME NFTs to aligned investors or partners; effectively diluting the shares in the VEME ecosystem.

  • Rebalancing of assets in the treasury to decrease market risk.

  • Proposed monetary policy adjustment for VeFi staking/bonding, Voltage fee mechanisms, or DAO Launchpad fee mechanisms. These proposals are signed off to The Development DAO for review, implementation, and final signage of the VEME DAO.

Business opportunity execution proposals

If a company, another DAO, or a pod in the VEME ecosystem encounters an opportunity involving the VEME ecosystem, one can submit a proposal to receive initial funding, grant, or loan, to act upon that opportunity. This brings value back either functionally and/or monetarily.

Examples of business opportunities could be:

  • Applying ecosystem mechanics like Voltage to solve a specific legal problem in a niche sector.

  • Applying VeFi to collateralize a specific NFT collection.

  • Assisting a startup to launch their DAO through VEME’s DAO Launchpad.

Depending on whether it's a grant or loan, the DAO executes the contract accordingly. A pitch is suggested to the VEME DAO to increase a successful funding round.

In VEMEs DAO future advancements, a specific pod could take over this function to fund and pro-actively curate potential business opportunities eligible for funding.

Marketing or management related proposals

Since the DAO is basically a business-oriented organization, it needs to secure interest in the projects it's governing and involved in to increase exposure and drive on top of organic adoption. The marketing proposals are related to events, exposing use cases to certain industries, and bringing the community together. Management proposals are focused on optimizing the HR levels that operate on the DAO; further streamlining its organizational operations.

Protocol integration & advancement proposals

Ecosystem integrations can be submitted and executed by any partner looking to expand upon the already existing tech stack in VEME’s product suite.

Examples of protocol integrations can be:

  • Bridging to different protocols/chains.

  • Integrating with particular DEX infrastructure.

  • Building specific interfaces for VeFi, Voltage, and the DAO Launchpad.

Core ecosystem components of VEME’s product suite are governed by The Development DAO: a pod taking ownership of curating grander ecosystem-level advancements. The community, partners, or VEME, or the company itself, can submit protocol-level advancements to the pod. The pod holds the keys to the core infrastructure. The Development DAO expands through development community participation over time. More about The Development DAO in the next section.

Examples of protocol level proposals can be:

  • Re-architecturing blockchain level tech stack to optimize performance, i.e. ZK-Snarks.

  • New VeFi bonding, staking mechanics.

  • Voltage improvements on the smart-contract layer, allowing for new use cases to be fulfilled.

3.3 Pods

The VEME DAO is supported and works actively with its involved pods. Pods run their own organization and treasury to keep them lean and normally only rely on funding certain activities coming in from the VEME DAO. Using this methodology, the organization remains lightweight and fast-moving. Each pod can choose to operate its organization as a DAO or a multi-sig wallet, based on its pod’s intended use. Self-organizing in pods is the key to ownership, freedom to operate, and being incentivized by the larger governing entity of the VEME DAO.

Currently, The Development DAO, taking a position as a pod in the VEME DAO, is set to take care of a particular and essential part of the organization. They are responsible for having the final say on the feasibility and execution of the technological advancements in the ecosystem. The Development DAO is initiated by the core developers within VEME to distribute and eliminate issues currently seen in protocol governance throughout the space. The Development DAO scales itself by exposing and onboarding non-VEME team company members in its DAO. The Development DAO specifically governs the architectural levels of VeFi, Voltage, the DAO Launchpad, and the VEME DAO implementation. The DEVELOPMENT DAO implementation proposals need to be signed off on the contract level by the VEME DAO in order to be finally executed.

The details of other pods, operating in companionship with the VEME DAO, are still in the works; below are some examples of how pods could be structured with regard to optimizing the functioning of the VEME DAO.

Provides ultimate approval of all CTAs linked to the strategy.

Actively curating proposals for proposed business opportunities, accepting and sending out grants, and pulling in partnerships for the VEME ecosystem.

Marketing pod:

Putting out articles, social media communication, events, and PR for everything VEME-related.

Operations Pod

Manages the function of the organization and the flow of creativity through infrastructure development, team support, and policy enforcement.

Finance Pod

Manages the VEME Treasury

Creative Pod

Executes the Strategy across all relevant Creative and Marketing verticals.

Product Pod

Executes the Strategy across all relevant Product and Development verticals.

Development Pod

Manages high-level development tasks and manages the development sprint

Community Pod

Brings our Vision through Assets and Engagement to our audience, and receives feedback. This pod will expand into Genesis, Ambassador, and Creator, VEMER sub-pods.

Executes Strategy with direct sales actions to meet Business Goals.

Human Resource Pod

Manages recruitments, agreements, onboarding, offboarding, training, and payroll for all team members.

3.4 VEME the Company

VEME started in 2015 as a traditional LLC with employees and is winding up its operations to transition fully into a DAO structure. However, a DAO does not mean there are no legal containers and no operating entities. It simply means those entities are more distributed, and that they are technically ‘owned’ in full or in part by the ‘DAO’ itself.

Currently, there are few actual ‘orgs’ that are DAOs because of the lack of this infrastructure; rather most DAOs are investment vehicles, protocol management, or platform management structures. VEME is aiming to pioneer this transition from a ‘company’ into a DAO while honoring all initial investors, team members, and agreements.

3.5 VEME DAO Roles

Although the DAO is self-governing, there is a multitude of roles to be fulfilled in order to coordinate itself towards reaching the intended higher-level mission and vision. From previous experience and case studies done, each role should roughly have a load between 7-15 hours a week.

Governance and Operations

  • Management of off-chain and on-chain governance, identification, and management of governance tools, relationships with VEME the company, and its pods, and management of community channels.

  • Lead responsibility: Guidance on governance methods, relationships with VEME the company and its pods, Lead team representative, gov/ops team coordination.

  • Team responsibilities: Management of governance tools, administration of community tools and channels, counterparties for the governance of community channels.

Treasury

  • Control of financial flows of the DAO, responsibility for the management of a balanced treasury, management of accounting, risk management, and treasury financial balance management (multi-currency / multi-token / purpose token).

  • Lead responsibility: Responsible for accounting/reporting on cash flows to the DAO members and giving advice on rebalancing and managing risk.

  • Other responsibilities: Management control, help in accounting management, and flow analysis.

Legal

  • Protection of the DAO, verification of correctness of on-chain and off-chain operations, study and elaboration of legislation related to crypto and DAO, and Ombuds/Internal dispute resolution system.

  • Lead responsibility: Representative of the legal team of the DAO both on-chain and off-chain, choice of legal issues to study and develop, and team coordination.

  • Other responsibilities: study and research of the topics proposed by the lead as well as legal advice to the community.

Development

  • Responsibility for coordinating communication with The Development DAO and other involved entities which are maintaining and updating the technological assets of the DAO, server, and bot maintenance as well as identification of new technological leads to follow.

  • Lead responsibility: DAO technology representative, responsible for team development decisions and team coordination.

  • Other responsibilities: Community tech counterparts and development.

Community Members lead

Identification and updating of onboarding policies for new members (compatible with governance guidelines), hospitality, community organization, community relations, and member wellbeing.

Lead responsibility: Member community lead role, study the best onboarding and community management policies, how to organize community channels, and team coordination.

Other responsibilities: Channel moderators, organization of DAO events, member support, and welcoming new members.

Ambassadors lead

  • Management of relationships with premium members, identification of reception policies, organization, and facilitation of events.

  • Lead responsibility: Support to leads of premium members' projects, study of community initiatives, and team coordination.

  • Other responsibilities: Help in the management of premium members and onboarding new relationships.

Marketing / Communication

  • Creation of marketing and communication campaigns internal and external to the DAO as well as management of social channels.

  • Lead responsibility: Definition of guidelines for internal and external DAO campaigns, relations with the lead team of creators and with the lead team of premium members, and team coordination.

  • Other responsibilities: Campaign management and management of the DAO’s social channels.

Creators Management

  • Realization of the original contents of the DAO.

  • Lead responsibility: Guidelines for creators (writers and designers) and relations with marketing.

  • Other responsibilities: Support creators (writers and designers).
